Terms of Service

These Terms of Service govern your access to and use of the services provided by Currency Life LLC, including the RapidSell marketplace platform and the currencylife.com website. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing or using the RapidSell platform (available at rapidsell.ai and through our mobile applications), the currencylife.com website, or any other services offered by Currency Life LLC (collectively, the “Services”), you agree to be legally bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Currency Life LLC, a California limited liability company (“Currency Life,” “Company,” “we,” “us,” or “our”), headquartered in Southern California, USA.

You represent that you are at least 18 years of age (or the legal age of majority in your jurisdiction), legally capable of entering into a binding contract, and not barred from using the Services under applicable law.

2. Description of Services

RapidSell is an online marketplace platform that enables registered users (“Sellers”) to list items for sale and enables other registered users (“Buyers”) to discover and purchase those items. Currency Life LLC acts solely as a technology platform operator and facilitator. Currency Life LLC is not a retailer, auctioneer, buyer, or seller of any items listed on the Platform.

Currency Life LLC is not a party to any transaction between Buyers and Sellers. We do not take title to, inspect, or guarantee any items listed on the Platform. Sellers are solely responsible for the accuracy of their listings, the quality and condition of items sold, and their fulfillment of orders. Buyers are solely responsible for their purchasing decisions.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and without liability to you.

3. User Accounts

3.1 Registration

To access most features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update that information to keep it accurate, current, and complete. You may not register using another person's identity or use a false or misleading identity.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at support@currencylife.com if you become aware of any unauthorized access to your account. You are responsible for all activity that occurs under your account, whether or not you authorized it.

3.3 One Account Per User

You may maintain only one active account on the Platform unless we have granted explicit written permission for additional accounts. Creating multiple accounts to circumvent restrictions, suspensions, or bans is prohibited and may result in permanent termination of all associated accounts.

3.4 Seller Verification

Sellers are required to complete identity verification and, where applicable, business verification before listing items for sale or receiving payouts. We may use third-party identity verification services for this purpose. Providing false or misleading verification information is grounds for immediate termination and may expose you to civil or criminal liability.

4. Marketplace Rules

4.1 Prohibited Items

You may not list, offer, sell, or buy any of the following items on the Platform:

  • Any item that is illegal to sell, possess, or transfer under applicable federal, state, or local law;
  • Counterfeit, replica, or unauthorized reproduction of branded, trademarked, or copyrighted goods;
  • Stolen goods or items obtained through fraud, theft, or other unlawful means;
  • Firearms, ammunition, explosives, and other regulated weapons (or components thereof);
  • Controlled substances, prescription drugs, and illegal narcotics or paraphernalia;
  • Hazardous materials, toxic substances, and products with known safety defects that have been recalled;
  • Adult content, obscene materials, or content that exploits or depicts minors;
  • Currency, bearer instruments, securities, or financial instruments (other than as expressly permitted for authorized financial products);
  • Personal data, account credentials, private records, or any item that violates a third party's privacy;
  • Items subject to sanctions programs administered by OFAC or other governmental bodies;
  • Live animals (unless expressly permitted in writing by Currency Life LLC);
  • Any other item or service that we determine, in our sole discretion, to be inappropriate for the Platform.

4.2 Listing Requirements

All listings must:

  • Accurately describe the item's condition, features, specifications, and any known defects;
  • Include clear, current photographs of the actual item being sold (not stock photos or images from other listings);
  • State the correct price and any additional fees (such as shipping);
  • Accurately represent the quantity available;
  • Comply with all applicable advertising and consumer protection laws;
  • Not misrepresent the item's brand, authenticity, provenance, or origin.

Listings that violate these requirements may be removed without notice. Repeated violations may result in account suspension or termination.

5. Fees and Payments

5.1 Platform Fees

Currency Life LLC charges fees for use of the Platform, including transaction fees applied to completed sales. The applicable fee schedule is disclosed in your account settings and on the Platform's fee disclosure page. We reserve the right to modify our fees at any time upon notice to you through the Platform or by email.

5.2 Payment Processing

All payments on the Platform are processed by Stripe, Inc., a third-party payment processor. By using the Platform, you also agree to Stripe's Connected Account Agreement and other applicable Stripe terms. Currency Life LLC does not store payment card numbers or bank account credentials; this information is stored and managed by Stripe.

5.3 Non-Refundable Fees

Platform fees are non-refundable. If a transaction is reversed, disputed, or charged back, the platform fees associated with that transaction remain owed by the Seller. Sellers are responsible for any chargeback fees or penalties imposed by Stripe or card networks arising from disputed transactions.

5.4 Taxes

Sellers are solely responsible for determining and remitting all applicable sales, use, VAT, income, and other taxes arising from their sales on the Platform. Currency Life LLC may collect and remit certain taxes on transactions as required by applicable law, including marketplace facilitator tax obligations.

5.5 Payouts

Seller payouts are processed according to the payout schedule displayed in your account settings. Same-day settlement is available for qualifying merchants who meet verification, history, and transaction requirements as determined by Currency Life LLC in its sole discretion. We reserve the right to delay, withhold, or reverse payouts in cases of suspected fraud, chargebacks, policy violations, or regulatory requirements.

6. Intellectual Property

6.1 Currency Life LLC Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, logos, and other content created by Currency Life LLC, are owned by or licensed to Currency Life LLC and are protected by intellectual property laws including copyright, trademark, and patent law. You may not copy, modify, distribute, sell, or lease any part of our Services or the underlying technology without our express written permission.

6.2 User Content License

You retain ownership of all content you submit, post, or upload to the Platform (“User Content”), including listing descriptions, photographs, and reviews. By submitting User Content, you grant Currency Life LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, distribute, and promote your User Content in connection with operating and improving the Platform and related services.

You represent and warrant that you own or have the necessary rights to grant this license for all User Content you submit, and that your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.

7. Prohibited Conduct

When using the Services, you agree not to:

  • Violate any applicable law, regulation, or third-party rights;
  • Engage in fraud, deceit, or misrepresentation of any kind;
  • Engage in market manipulation, shill bidding, or other deceptive marketplace practices;
  • Circumvent, bypass, or attempt to defeat Platform fees by conducting transactions off-Platform with users you met through the Platform;
  • Send unsolicited commercial communications (spam) to other users;
  • Harass, abuse, threaten, or intimidate other users or Currency Life LLC staff;
  • Scrape, crawl, or otherwise extract data from the Platform using automated means without our written permission;
  • Attempt to gain unauthorized access to the Platform or its related systems or networks;
  • Upload viruses, malware, or other malicious code;
  • Impersonate another person or entity or misrepresent your affiliation with any person or entity;
  • Interfere with the proper functioning of the Platform;
  • Use the Platform to conduct money laundering or other financial crimes;
  • Create accounts for the purpose of evading bans or suspensions.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Currency Life LLC disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Any warranty that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
  • Any warranty as to the accuracy, completeness, or reliability of any content on the Platform, including user listings;
  • Any warranty regarding the quality, safety, legality, or authenticity of items listed on the Platform.

Currency Life LLC makes no representations regarding the conduct, identity, or actions of other users. You interact with other users and purchase items entirely at your own risk.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Currency Life LLC, its officers, directors, members, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services, even if Currency Life LLC has been advised of the possibility of such damages.

Currency Life LLC's total aggregate liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) one hundred United States dollars ($100.00) or (b) the total fees paid by you to Currency Life LLC in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Currency Life LLC and its officers, directors, members, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Services, including any transactions you enter into through the Platform;
  • Your User Content, including any claim that your User Content infringes the rights of a third party;
  • Your violation of any applicable law or regulation;
  • Any dispute between you and another user of the Platform.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and any disputes arising from or related to them or the Services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

11.2 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at legal@currencylife.com and attempt to resolve the dispute informally. Most concerns can be resolved quickly through direct communication. We will work in good faith to resolve any complaints within 30 days.

11.3 Binding Arbitration

If a dispute is not resolved through informal means within 30 days, you and Currency Life LLC agree to resolve the dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. Arbitration proceedings shall be conducted in Riverside County, California, USA, unless the parties agree to a different location or to conduct the arbitration remotely.

The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of these Terms, including the arbitrability of any claim. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.4 Class Action Waiver

YOU AND CURRENCY LIFE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

11.5 Exceptions to Arbitration

Notwithstanding the arbitration agreement, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Riverside County, California, to preserve the status quo or prevent irreparable harm pending arbitration. Either party may also bring small claims court actions if the claim qualifies.

12. Termination

12.1 Termination by Currency Life LLC

We may suspend or terminate your account and access to the Services, at our sole discretion, at any time and without notice, for any reason, including but not limited to a good-faith belief that you have violated these Terms, engaged in fraud or illegal conduct, or posed a risk to our users or the Platform. Upon termination, your right to use the Services immediately ceases.

12.2 Termination by You

You may close your account at any time through your account settings or by contacting us at support@currencylife.com. Closing your account does not relieve you of obligations incurred prior to the termination date, including payment of any outstanding fees.

12.3 Effect of Termination

Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law and Dispute Resolution), and 13 (General Provisions) shall survive termination of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the “Last Updated” date at the top of this page;
  • Send an email notification to registered users with active accounts; and
  • Display a prominent notice on the Platform for a reasonable period following the change.

Material changes will take effect 30 days after posting unless otherwise specified. Changes made for legal compliance may take effect immediately. Your continued use of the Services after the effective date of any revised Terms constitutes your binding acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and close your account.

14. General Provisions

  • Entire Agreement: these Terms, together with our Privacy Policy and any additional terms disclosed for specific Services, constitute the entire agreement between you and Currency Life LLC regarding your use of the Services.
  • Severability: if any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
  • Assignment: you may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely.
  • Force Majeure: we shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, or governmental action.
  • No Agency: nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and Currency Life LLC.
  • Notices: legal notices to Currency Life LLC must be sent by email to legal@currencylife.com or by certified mail to Currency Life LLC, Southern California, USA.
